Terms of Service

These Terms of Service (the "Terms") govern your use of praxidyn.com (the "Site"), which is operated by Praxidyn LLC ("Praxidyn," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Scope

These Terms apply to the Site only. The purchase, warranty, and use of Mixmate hardware, the Mixmate app, and Intersect cloud services are governed by separate agreements provided with those products. If there is a conflict between these Terms and a product agreement, the product agreement controls for that product.

2. Changes to the Terms

We may update these Terms at any time by posting a revised version on this page and changing the effective date. Changes take effect when posted. Your continued use of the Site after a change means you accept the revised Terms.

3. Intellectual property

All content on the Site, including text, images, video, graphics, logos, product designs, and software, is the property of Praxidyn or its content suppliers and is protected by copyright, trademark, patent, and other intellectual property laws. Praxidyn® and Mixmate® are registered trademarks of Praxidyn LLC. Mixmate products are covered by U.S. patents, including 8,744,633 and 10,919,751. Nothing on the Site grants you any license or right to use our trademarks, patents, or content except as stated in these Terms.

4. Permitted use

We grant you a limited, revocable, non-exclusive license to view the Site and to download or print pages for your own personal or internal business use, such as evaluating Mixmate products or sharing information with your team or dealer. You may not copy, republish, distribute, sell, modify, or create derivative works from Site content, or use it in any other website or publication, without our prior written permission.

5. Prohibited conduct

You agree not to:

• Use automated tools to scrape, crawl, harvest, or copy content or contact information from the Site, other than standard search engine indexing
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with the operation or security of the Site
• Submit false or misleading information through our forms
• Use the Site or any information obtained from it to send unsolicited commercial messages
• Use the Site in violation of any applicable law

6. Information you submit

Information you provide through our forms, quiz, and booking tool is handled as described in our Privacy Policy. You agree that the information you submit is accurate to the best of your knowledge. If you send us feedback, suggestions, testimonials, or photos and video of your operation, you grant Praxidyn a perpetual, royalty-free license to use them in our marketing and materials, and you confirm you have the right to grant that license. We will not use your name or likeness in marketing without your permission.

7. Product information

Product descriptions, specifications, capacities, performance figures, and images on the Site are provided for general information and may change without notice. Actual results depend on your equipment, products, and operating conditions. Pricing, availability, and purchase terms are provided by Praxidyn or an authorized Praxidyn dealer at the time of quote and are not offered through the Site.

8. Third-party websites and services

The Site links to and embeds services from third parties, including our support knowledge base, financing partners, dealer websites, YouTube, Calendly, and social media platforms. We do not control those sites or services and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms.

9. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PRAXIDYN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS COMPLETE OR CURRENT. THIS SECTION DOES NOT LIMIT ANY WARRANTY PROVIDED IN A SEPARATE PRODUCT AGREEMENT.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRAXIDYN AND ITS OWNERS, EMPLOYEES, DEALERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING IT.

11. Indemnification

You agree to indemnify and hold harmless Praxidyn and its owners, employees, dealers, and affiliates from any claim, loss, or expense, including reasonable attorney's fees, arising from your violation of these Terms or your misuse of the Site.

12. Copyright complaints

If you believe content on the Site infringes your copyright, send a notice to the contact address below that includes: (1) your physical or electronic signature; (2) a description of the copyrighted work; (3) where the material is located on the Site; (4) your address, telephone number, and email address; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

13. Governing law and venue

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or your use of the Site will be brought in the state or federal courts located in Pottawattamie County, Iowa, and you consent to the jurisdiction of those courts.

14. General

If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will stay in effect. Our failure to enforce any provision is not a waiver of it. We may suspend or terminate your access to the Site at any time for any reason. The Site is intended for adults and businesses and is not directed to children under 13.
